Healthper™ Prize Contest (September 1-June 30, 2012) Official Rules

The Healthper™ Prize Promotion began on 9/1/11 and continues through 06/30/12, and is comprised of separate monthly contests (each a "Contest", collectively the "Promotion"). The Promotion is operated and sponsored by Healthper, Inc., 124 Brookstone Dr., Princeton, NJ 08540.

1. ELIGIBILITY:

   Promotion open only to legal residents of the 50 U.S., D.C. and Puerto Rico who are 18 years of age or older as of time of entry. Void where prohibited by law.

2. HERE'S HOW IT WORKS:

   These Official Rules govern each of the Contests:

   For each Contest, a total of 1 prize will be awarded. See Rule #5 for prize details. During each Contest (beginning on the first day and ending on the last calendar day of the applicable Contest period (each, a "Contest Period"), the person who receives a “top of the game” badge (“Badge Award”) on Healthper’s website during the Contest and achieves the highest point total for the Contest Period will be awarded the prize.

   At least 25 contest participants must attain, "Top of the Game" badge, for each contest period to avoid contest cancellation. Healthper at its sole discretion can change the minimum participation criteria at any time.

   A participant is eligible to win the prize only once in 180 days. Healthper at its sole discretion can change this eligibility criteria at any time.

3. NO PURCHASE, BADGE AWARD OR HEALTHPER MEMBERSHIP NECESSARY:

   To enter a Contest without qualifying as “top of the game” on Healthper’s website, print your full name, address (no post office box addresses accepted), city, state, zip code and date of birth (mm/dd/yyyy) on a plain piece of 3" x 5" paper and mail in a stamped hand-addressed business-size envelope to: Healthper Monthly Prize Contest, 124 Brookstone Dr., Princeton, NJ 08540. IMPORTANT: You must indicate on the lower front left side of your mailing envelope the Contest Period (e.g., “September – October” or “November” without abbreviation) of the Contest you wish to enter. Limit one Contest Period per entry and one entry per outer mailing envelope. No mechanically reproduced entries permitted. Illegible entries are void. Released Parties (as defined below) are not responsible for lost, late, mutilated, delayed, inaccurate, incomplete, postage due, misdirected entries or entries not received in time for the entrant-specified Contest. To be eligible for the applicable Contest, your entry must be received no later than 5 business days after the Contest Period you have indicated on your entry envelope. Entries received more than 5 business days after the Contest Period printed by entrant on the envelope will be disqualified for the Contest.

4. CONTEST DETERMINATION:

   The determination of the winner of each Contest will be made within 10 business days following the applicable Contest Period from among all eligible entries received for each specific Contest. Eligible entries will be included in the Contest for the Contest Period of your Badge Award (per Rule #2) or the Contest Period you indicated on your mailing envelope (per Rule #3). Contest winners will be determined by Healthper, Inc., whose decisions are final on all matters relating to this Contest and the Promotion. Odds of winning a prize will depend upon the number of eligible entries received for that Contest. Winners will be notified by mail.

5. PRIZES & VALUES:

   (1) Monthly prize for each Contest Period - Schwinn Mountain Bike [FS], [MSRP $ 399]. Prize consists of only the item specifically listed as the prize, provided that Healthper in its sole discretion may substitute a prize of equal or greater value.

   Healthper in its sole discretion can offer additional reward per contest period.

6. GENERAL RULES:

   Potential Contest prize winners will be sent an Affidavit of Eligibility/Release of Liability/Publicity Release/Prize Acceptance Form which must be completed and returned within seven (7) business days of attempted notification. Noncompliance within this time period or return of any prize/prize notification as undeliverable will result in disqualification without further notice and an alternate winner will be selected. Monthly winners winning prizes will be required to execute a W9 form and their total winnings will be reported to the IRS, as is required by law. Healthper may conduct a background check on the potential monthly winners. Such background check may include (but is not limited to) investigation of employment history, criminal or other arrest or conviction record, and any other factor deemed relevant by Healthper to help ensure that his/her participation in the Contest will not, in Healthper’s sole discretion, bring Healthper into public disrepute, contempt, scandal or ridicule or reflect unfavorably on Healthper. All federal, state and local income taxes are the sole responsibility of winner. All applicable federal, state and local laws and regulations apply. Winners may make no substitution or transfer of prize. Entrants (or parent/legal guardian if entrant is deemed a minor in his/her state of residence) agree to hold Healthper and its affiliates, subsidiaries, and parent companies, and advertising and promotion agencies and the respective directors, officers, employees, and assigns of each (collectively, "Released Parties"), harmless against any claims, damages or liability due to any injuries, damages or losses to any person arising out of use of prize or participation in any Contest-related activity. Acceptance of a prize constitutes permission to Healthper and its agencies to use, in their sole discretion, each winner's name and state of residence and/or likeness for purposes of advertising/trade in any and all media now or hereafter known worldwide in perpetuity without further compensation, unless prohibited by law. All materials submitted become sole property of Healthper and will not be returned. Released Parties are not responsible for computer, network, technical, printing, typographical, human or other errors, problems or malfunctions relating to or in connection with the Contest, including without limitation, errors, problems or malfunctions which may occur in connection with the administration of the Contest, the announcement of the prizes, the processing of entries or in any Contest-related materials; or for entries that are lost, misdirected, or fail to enter into the processing system for any reason; or are processed, reported, or transmitted late or incorrectly; or are lost for any reason, including computer, telephonic, paper-transfer, or human error, or electronic, computer, or telephonic malfunction, damage, error, omission, interruption, defect, delay in operation or transmission, or any combination thereof. By participating in this Contest, entrants agree to be bound by these Official Rules and the decisions of Healthper, which are final and binding. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control. In the event that the Contest scheduled to run does not occur, a notice will be posted online at this website. Healthper may prohibit a participant from participating or winning a prize (and void all associated entries) if, in its sole discretion, it determines that said participant is attempting to undermine the legitimate operation of the Promotion by cheating, deception or other unfair playing practices or intending to annoy, abuse, threaten or harass any other participants or Healthper's representatives. If for any reason this Contest is not capable of running as planned, including, but not limited to, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of Healthper, which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, then Healthper reserves the right in its sole discretion to cancel the Contest. If terminated, Healthper may, at its discretion, award the prize for the drawing at issue from among all non-suspect, eligible entries received for such Contest up to time of such action. In no event will more than the stated number of prizes be awarded.

7. WINNERS:

   Names of the Contest winners will be posted for Members at the Winners’ Circle on this website throughout the Promotion. Non-members may obtain a copy of the winners list for a Contest by so requesting in writing addressed to Healthper, Inc., 124 Brookstone Dr., Princeton, NJ 08540, Attn: Contest Winners List [specifying Contest Period], and including a stamped, self-addressed business envelope. ONLINE NOTICE: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, HEALTHPER RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Healthper reserves the right to cancel or modify the Promotion if fraud, misconduct or technical failures destroy the integrity of the program; or if a computer virus, bug, or other technical problem corrupts the administration or security of the program as determined by Healthper/administrator, in their sole discretion. Any damage made to the website will be the responsibility of the authorized e-mail account holder of the e-mail address submitted at the time of entry. Healthper reserves the right to prohibit the participation of an individual if fraud or tampering is suspected or if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules.
